1. Agreement to Terms

These Terms of Usage constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Ask AI Agent Limited (“we,” “us,” or “our”), concerning your access to and use of the FounderOS platform as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms of Usage and all applicable laws and regulations. If you do not agree with any part of these terms, you are prohibited from using or accessing the Services.

2. Description of Service and Use License

FounderOS is an AI-native Operating System for entrepreneurs. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for personal or commercial project development purposes, subject to these Terms.

You may not:

• Modify, reverse engineer, or decompile the underlying software;
• Use the Services for any illegal or unauthorized purpose;
• Attempt to bypass or manipulate the billing and credits system;
• Use the AI agents to generate harmful, illicit, or defamatory content;
• Access the Services through automated or non-human means, whether through a bot, script or otherwise;
• Use the Services for any commercial endeavors except those specifically endorsed or approved by us.

3. User Representations

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update such registration information as necessary.
• You have the legal capacity and you agree to comply with these Terms of Usage.
• You are not a minor in the jurisdiction in which you reside.
• You will not use the Services for any illegal or unauthorized purpose.

4. Intellectual Property Rights

The platform, including its original content, features, and functionality (excluding user-generated content), is and will remain the exclusive property of FounderOS and its licensors.

Your Content: You retain full ownership of any business plans, architecture diagrams, pitch decks, and other materials generated by the AI using your input data. You grant FounderOS a limited, worldwide, non-exclusive, royalty-free license to process, store, and transmit your content solely for the purpose of providing the Services to you. This license survives termination solely to the extent necessary to comply with legal retention obligations.

5. Credits, Billing, and Subscriptions

FounderOS operates on a pay-as-you-go credit system alongside optional subscription tiers. You agree to pay all fees and charges associated with your account on a timely basis.

• Credit Purchases: All purchases of credits are final and non-refundable unless strictly required by applicable law. We do not offer refunds, exchanges, or rollovers for unused credits.
• AI Usage: Interaction with the AI agents consumes credits at defined rates, which may be updated periodically with notice. FounderOS is not liable for credits consumed by user-prompted errors or dissatisfaction with AI-generated outputs.
• Subscriptions: If enrolled in a subscription plan, subscriptions bill automatically on a recurring basis. You may cancel at any time before the next billing cycle.
• Payment Processing: All payments are processed securely through third-party payment processors. We do not store full payment card details on our servers.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include:

• Systematically retrieving data or other content to create a collection, compilation, database, or directory without written permission.
• Making any unauthorized use of the Services, including collecting usernames or email addresses for sending unsolicited email.
• Circumventing, disabling, or otherwise interfering with security-related features of the Services.
• Engaging in unauthorized framing of or linking to the Services.
• Uploading or transmitting viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Services.
• Using the Services to compete with us.

7. Disclaimer of Warranties and Limitation of Liability

The Services are provided on an “as is” and “as available” basis. FounderOS makes no warranties, expressed or implied, regarding the accuracy, likely results, or reliability of the use of the materials on the platform or the outputs generated by its AI agents.

In no event shall FounderOS, Ask AI Agent Limited, nor its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to defend, indemnify and hold harmless FounderOS and Ask AI Agent Limited and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of (a) your use and access of the Services, or (b) a breach of these Terms.

9. Account Deletion and Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

If you wish to terminate your account, you may request account deletion by contacting us through the process outlined on our Account Deletion page. Upon termination, your right to use the Services will immediately cease. We will delete or anonymize your data in accordance with our Privacy Policy, subject to any legal retention obligations.

10. Governing Law

These Terms shall be governed by and defined following the laws of Hong Kong. Ask AI Agent Limited and yourself irrevocably consent that the courts of Hong Kong shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
